These contractual and operating terms and conditions of Ohmg Studio (the Terms and Conditions) govern the operation of the Yoga studio and the relationship between Nivara Wellness, Lda., a private limited company with registered office at Rua Correia Teles, 76-A, 1350-130 Lisboa, share capital of €3,000.00, registered with the Commercial Registry Office under sole registration and corporate taxpayer number 519340760, and the customer (the Member).
By subscribing to any of the services made available at Ohmg Studio, the Member agrees to and accepts the Terms and Conditions without reservation.
1. Purpose and location
1.1. Ohmg Studio is exclusively dedicated to Yoga activities and provides its Members with classes and other Yoga events (the Services).
1.2. Ohmg Studio operates from premises at Rua Correia Teles, 76-A, 1350-130 Lisbon.
2. Services and sale of products
2.1. Ohmg Studio provides the following Services:
a) in-person classes;
b) Workshops;
c) Events.
2.2. The timetable for in-person classes is published monthly. Additional classes may be scheduled by direct agreement with the Member or announced on a case-by-case basis.
2.3. Workshops and events will generally be announced on a case-by-case basis, although they may also be included with the in-person classes in Ohmg Studio’s monthly timetable.
2.4. Ohmg Studio may make supplementary services available and sell products related to Yoga activities.
3. Membership registration and account
3.1. The Member’s registration is carried out exclusively through the Ohmg Studio website (https://ohmgstudio.com/) and or Ohmg Studio online application (the Online Application), in accordance with the features available there, whether directly or through links to specialized platforms such as Momence.
3.2. The data requested for the purposes of registering and maintaining the Member’s account are limited to those necessary to enter into the contractual relationship and the management of the Member’s relationship by Ohmg Studio.
3.3. The Member undertakes to provide the accurate data required for the purposes of clause 3.2 and to keep such data up to date.
3.4. The Member’s registration shall be completed upon the subscription of any of the Services, and the Member shall be assigned an individual Member account for the purposes of the relationship with Ohmg Studio, which shall be responsible for managing the individual Member account.
3.5. Registration as a Member may only be completed by persons aged 18 (eighteen) or over. A minor must be registered by their legal representative, who shall provide appropriate evidence of that capacity.
3.6. Where registration is completed and the Member is a natural person, the statutory right of withdrawal shall apply and may be exercised within a maximum period of 14 (fourteen) days from completion of registration, by means of an unequivocal statement notified in writing to Ohmg Studio.
4. Bookings, late arrivals and cancellations
4.1. In-person classes are subject to room capacity and prior booking through Momence or the Online Application. The Member may book up to 3 (three) weeks in advance.
4.2. The Member must arrive at least 5 (five) minutes before the in-person class begins. For safety reasons and to avoid disrupting the class, access more than 5 (five) minutes after it begins may be refused, and the booking shall be treated as used by the Member.
4.3. The Member may cancel an in-person class without charge up to 4 (four) hours before it begins, through Momence or the Online Application.
4.4. Cancellation after the minimum notice period set out in clause 4.3, or an unjustified failure to attend an in-person class, shall result in payment of the applicable price or loss of the corresponding credit.
4.5. Referring to special programmes and/or in the applicable price list may be provided a different rule from that set out in clause 4.4.
4.6. The booking, late arrival and cancellation rules applicable to Services other than in-person classes shall be specifically published for each Service.
5. Prices, invoicing and payment
5.1. The prices of the Services are those set out in the applicable price list.
5.2. Unless expressly stated otherwise, all prices in the price list include all taxes legally due, namely VAT at the applicable statutory rate.
5.3. The price list shall be updated on 1 January of each year by applying the latest annual consumer price index excluding housing, as published by Instituto Nacional de Estatística, and shall be immediately applicable to all Members from that date. Ohmg Studio may waive this yearly price update, informing the Members in writing of that decision.
5.4. Any other changes to the price list shall be announced at least 30 (thirty) days before they take effect. Such a change shall entitle the Member to terminate the contract with Ohmg Studio.
5.6. The price will be due with the subscription of the Services and payment shall be made through Momence or the Online Application.
5.5. Ohmg Studio shall issue invoices for the price paid by the Member.
5.7. If, for reasons attributable to Ohmg Studio, a booked Service is not provided to the Member, the relevant amount shall become a credit on behalf of the Member, which may be used to pay for other Ohmg Studio Services, preferably equivalent to the Service that was not provided.
6. Packages and credits
6.1. The packages offered by Ohmg Studio in each moment will be produced and detailed on the existing price list.
6.2 The individual class or recovery packages includes a pre-defined number of in-person classes or recovery sessions and are valid for pre-defined periods of time, depending on the package purchased. Individual expiry periods are stated at the time of offer purchase and on the existing price list.
6.3. Credits relating to packages that expire due to the expiry of their validity period shall lapse automatically, without any formality or notice being required.
7. Monthly membership option
7.1. The Member may choose the monthly membership option, which shall remain in force for a period corresponding to one calendar month and shall renew automatically and successively for equal periods.
7.2. The Member and Ohmg Studio may prevent renewal by giving the other party at least 14 (fourteen) days’ notice before the date on which renewal would otherwise occur, by means of a communication sent to Online Application or the Member’ e-mail address.
7.3. The Member’s decision not to use the Services shall not affect the validity or renewal of the membership, and the Member shall remain liable for payment of the corresponding price.
7.4. Specific rules applicable to the membership, including minimum commitment periods, associated benefits and the consequences of early termination, shall be set out in a specific offer communicated by Ohmg Studio and accepted by the Member.
7.5 For monthly memberships that have credit limits, any unused credits will rollover to the following month, but the credits will expire if not used after a 1 (one) month term.
8. Changes and cancellations by Ohmg Studio
8.1. Members shall be informed as soon as reasonably practicable of any one-off changes to scheduled Services for justified operational reasons.
8.2. If a Service is cancelled, the Member shall be offered a replacement session, restoration of the credit, an extension of the credit’s validity or a proportionate refund of the price paid.
8.3. Material and lasting changes to the Services made available shall be notified to Members at least 30 (thirty) days in advance.
9. Health and safe use
9.1. Yoga involves movement, physical exertion, balance, flexibility, weight-bearing and breathing techniques and is therefore not free from inherent risks, even when reasonable safety measures are observed. The Member must therefore respect their limits, follow instructions and stop practicing in the event of pain, dizziness or discomfort.
9.2. The Member shall inform Ohmg Studio in writing, voluntarily and only to the extent necessary, of any relevant limitations so that the Yoga practice may be safely adapted to their personal circumstances.
9.3. Ohmg Studio is not qualified to provide, and therefore does not provide, Members with any health diagnosis or advice. It is always the Member’s sole responsibility to seek advice from a healthcare professional regarding Yoga practice and physical exertion.
9.4. The Member should ensure beforehand that have no contraindications to participating in Yoga activities, and being aware that currently has no such contraindication, undertaking to inform Ohmg Studio promptly if that situation changes.
9.5 Ohmg Studio may propose adaptations or refuse a Member’s participation in a specific activity where objectively justified and proportionate safety reasons exist.
10. Conduct and premises
10.1. The Member undertakes to treat all instructors, employees and other persons working for Ohmg Studio, as well as other Members and any other persons present at Ohmg Studio, with respect and courtesy.
10.2. The Member undertakes to observe and comply with the operating, safety, emergency and hygiene rules in force at Ohmg Studio and to use the premises, furniture and equipment properly, having regard to any specific rules published in relation to them.
10.3. Dangerous, violent, seriously or repeatedly disruptive, or disrespectful conduct by the Member or by third parties entering Ohmg Studio’s premises with the Member shall constitute grounds for requiring them to leave immediately, refusing them future access or terminating the contract entered into with Ohmg Studio.
10.4. Capturing images or sound at Ohmg Studio is prohibited without prior written authorization.
10. Ohmg Studio does not provide individual supervision of the Member’s personal belongings and only provides access to basic lockers, subject to availability.
11. Accidents and insurance
11.1. Any accident or incident occurring at Ohmg Studio must be reported immediately to info@ohmgstudio.com.
11.2. The Studio holds the insurance policies stated on the Online Application:
11.3. Information on submitting an insurance claim and other insurance-related procedures is available on the Online Application.
11.4. The existence of insurance does not limit the Member’s statutory rights or, in itself, exclude any liability of Ohmg Studio.
12. Suspension of membership and Services
12.1. The Member may request in writing the suspension of their membership and, consequently, of the provision of the Services once in each calendar year, for a minimum period of 4 (four) weeks and a maximum period of 10 (ten) weeks.
12.2. Ohmg Studio may suspend the Member’s membership and, consequently, the provision of the Services on the following grounds:
a) Failure to pay the amount due, where payment is more than 30 (thirty) days overdue;
b) Interruption of the supply of water, electricity or other utilities which, by their nature, prevent Ohmg Studio from operating normally and properly;
c) An order issued by the competent authorities.
12.3. If the suspension of membership and of the provision of the Services continues for more than 60 (sixty) days, either the Member or Ohmg Studio may terminate the contract on that ground.
13. Cancellation of membership and termination of the contract
13.1. Either the Member or Ohmg Studio may terminate the contract under the general rules of law on the grounds of the other party’s serious and/or repeated breach of its obligations, after granting that party 30 (thirty) days, by registered letter with acknowledgement of receipt, to remedy the breach and resume full performance of its obligations.
13.2. The Member may terminate the contract with Ohmg Studio freely by giving written notice before the next billing period, with effect from the beginning of that period, unless a minimum membership term has been agreed or the Member owes amounts to Ohmg Studio.
13.3. If the Member terminates the contract under clause 13.2, Ohmg Studio shall not be required to refund or reimburse any amount paid.
14. Personal data
14.1. Personal data are processed in accordance with the Privacy Policy available on the Online Application.
14.2. Marketing communications, promotional use of images, optional collection of health data and similar matters that do not arise directly from and are not inherent in the contractual relationship shall always require separate consent from the personal data subject.
15. Governing law
15.1. These Terms and Conditions are governed by Portuguese law.
16. Complaints, consumer alternative dispute resolution (ADR) and jurisdiction
16.1. Members may submit complaints at https://ohmgstudio.com/ and through the Livro de Reclamações, in accordance with applicable law.
16.2. In the event of a consumer dispute, the Member, as a consumer, may refer the matter to a consumer alternative dispute resolution body. The competent body is the Lisbon Centro de Arbitragem de Conflitos de Consumo de Lisboa (the official list is available at www.consumidor.gov.pt).
16.3. Without prejudice to the preceding clauses, the courts having jurisdiction under applicable law shall be competent, and no exclusive jurisdiction is agreed that would prejudice the Member as a consumer.
17. Final provisions
17.1. The invalidity of any provision of these Terms and Conditions shall not affect the remaining provisions. The affected provision shall be replaced by the provision that best gives effect to the applicable legal framework, on a proper legal interpretation.
17.2. Amendments to these Terms and Conditions shall have prospective effect only after appropriate publication and shall apply to contracts previously entered into after a period of 30 (thirty) days has elapsed. To the precise extent that such amendments reduce Members’ rights or increase their obligations, they shall entitle the Member to terminate the contract.
